Rules for using the Data2Power website and purchasing goods from us

Important information
These terms contain two parts. Part A applies to use of the Data2Power website. Part B applies when a customer requests a quotation, places an order or purchases goods from Data2Power. Part C contains provisions applying generally.
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.
Part A – Website Terms of Use
1. About the website and acceptance
The website www.data2power.com.au (Website) is operated by Comrack Pty Ltd ABN 68 606 050 597 trading as Data2Power (Data2Power, we, us or our). Comrack is not legally part of the Complete Wiring Group. Any marketing association with other businesses does not make those businesses parties to transactions made through this Website.
By accessing or using the Website, a user agrees to Part A of these terms. If a user does not agree, they should not use the Website. A purchase is additionally governed by Part B and any written quotation or order-specific terms accepted by Data2Power.
2. Permitted use
The Website may be used for lawful personal or business purposes associated with reviewing, enquiring about or purchasing Data2Power products and services. A user must not:
- interfere with the Website, its security, operation or other users;
- introduce malicious code, attempt unauthorised access, scrape the Website at unreasonable volume, or test vulnerabilities without written permission;
- use false information, impersonate another person or create an account without authority;
- copy, adapt, republish or commercially exploit Website content except as permitted by law or with our written consent; or
- use the Website in a way that breaches a law or infringes another person’s rights.
We may restrict or suspend access where reasonably necessary to protect the Website, users, Data2Power or another person, investigate misuse, perform maintenance or comply with law.
3. Website information
We take reasonable care with Website content, but product information, images, specifications, compatibility information, availability and delivery estimates may change. Images may be illustrative and colours or appearance may vary between screens and production batches.
Users should verify that a product is suitable for the intended application before purchase or installation. Technical information on the Website is general information and does not replace project-specific engineering, electrical or safety advice.
If we identify a material error in a listing, specification or price, we may correct it. If the error affects an order already placed, we will contact the customer and offer the lawful options available, which may include proceeding on corrected terms with agreement or cancelling and refunding amounts paid.
4. Intellectual property
Unless otherwise stated, Website content, product descriptions, photographs, graphics, logos, technical material and Website design are owned by or licensed to Data2Power and are protected by intellectual property laws. Data2Power grants users a limited, revocable, non-exclusive licence to view and use the Website for its intended purpose.
A user retains ownership of material submitted to us. The user grants us permission to use that material to respond to the enquiry, assess requirements, provide a quotation, fulfil an order and administer the commercial relationship. The user must have the right to provide the material and should identify any confidentiality requirements before submission.
5. Third-party links and services
The Website may link to or use third-party websites, payment services, freight services or other platforms. Unless stated otherwise, these are independent services and their terms and privacy practices may apply. We are not responsible for independent third-party content or services, except to the extent the law makes us responsible.
6. Website availability
We do not promise uninterrupted or error-free access. We may maintain, change, suspend or discontinue Website functions. Where practicable, we will avoid unnecessary disruption, but urgent maintenance, security events and circumstances outside our reasonable control may affect availability.
Part B – Terms and Conditions of Sale
7. Application and priority
Part B applies to quotations, online orders and other sales by Data2Power. An order-specific written quotation accepted by the customer may supplement or vary these terms. If there is an inconsistency, the order-specific written term prevails to the extent of the inconsistency. A customer’s purchase-order terms do not apply merely because they appear on a purchase order, portal or other document; any variation must be expressly agreed by Data2Power in writing.
8. Products, customers and authority
Products may include standard catalogue items, configured products, special-order items, procured-to-order items and custom-made products. A person placing an order for a business represents that they are authorised to bind that business.
Some electrical products require installation, configuration or testing by an appropriately qualified or licensed person. Customers must follow product instructions, ratings, warnings and applicable laws and standards. Unless expressly included in writing, installation and site assessment are not included in the sale.
9. Prices and GST
Prices are in Australian dollars. Retail prices displayed to consumers include GST unless clearly stated otherwise. Business quotations may state prices exclusive of GST; GST will then be added where applicable. Delivery, insurance, duties, special packaging, payment surcharges and other charges are additional only where disclosed before the customer is bound.
Promotional prices apply for the stated period and while allocated stock lasts. We may change future prices at any time, but will not unilaterally increase the agreed price of an accepted order except where the customer agrees to an order variation.
10. Quotations and orders
A quotation is valid for the period stated in it. If no validity period is stated, it may be withdrawn before acceptance. A quotation is an invitation to place an order, not a binding offer by Data2Power. An online order or purchase order submitted by a customer is an offer to purchase.
A contract is formed when Data2Power sends an express order acceptance or dispatches the goods, whichever occurs first. An automated acknowledgement confirms receipt only and is not necessarily acceptance. We may decline an order before acceptance for reasonable grounds, including unavailability, pricing or description error, suspected fraud, credit concerns, legal restrictions or inability to deliver. If payment has been taken for a declined order, it will be refunded promptly using the original payment method where practicable.
11. Payment
Payment must be made using a method offered at checkout or stated in an accepted quotation. Unless approved credit terms apply, cleared payment is required before dispatch or production begins. For approved accounts, payment is due by the date shown on the invoice. We may suspend unfulfilled orders where an amount is overdue, after giving reasonable notice where practicable.
The customer is responsible for reasonable costs we incur recovering an overdue undisputed debt, subject to applicable law. Interest is payable only if expressly stated in an accepted quotation or approved account terms.
12. Availability, backorders and substitutions
Stock indications are estimates and may not reflect simultaneous orders or supplier changes. If an accepted order cannot be supplied within a reasonable period, we will contact the customer to agree a revised timeframe, suitable substitute or cancellation and refund for the unavailable item. We will not substitute a materially different product without agreement.
13. Custom, configured and special-order products
A Custom Product is made, modified, labelled, programmed, cut or configured to a customer’s requirements. A Special-order Product is obtained or committed to specifically for a customer and is not ordinarily stocked by Data2Power.
Before production or procurement, the customer must check and approve applicable drawings, specifications, quantities, compatibility requirements, labels and other order details. Data2Power remains responsible for supplying goods in accordance with the agreed description and applicable law.
Once Data2Power has reasonably committed to non-cancellable materials, supplier charges, engineering or production for a Custom Product or Special-order Product, the customer may cancel only with our written agreement. We may require payment of reasonable, evidenced costs and work performed up to cancellation, but not an amount exceeding the agreed price. This clause does not limit rights arising from our breach, delay amounting to a failure to supply within the agreed or reasonable time, or any non-excludable rights.
Custom and Special-order Products are not eligible for change-of-mind return, but all rights concerning faulty, unsafe, misdescribed or otherwise non-compliant goods continue to apply.
14. Changes requested by the customer
A requested change to an accepted order is effective only when agreed in writing. We will disclose any resulting price, timing or technical impact before the variation becomes binding. If the parties cannot agree, the original order remains in place unless lawfully cancelled.
15. Delivery
Available delivery areas, methods and charges are shown at checkout or stated in the quotation. Delivery dates are estimates unless expressly agreed as fixed. We will take reasonable steps to meet an agreed date and keep the customer informed of material delays.
The customer must provide accurate delivery details and reasonable access. If delivery cannot be completed because of incorrect details, absence or access restrictions, we may charge the reasonable additional redelivery or storage cost after notifying the customer.
For a consumer sale, risk passes when the goods are delivered to the customer or a person nominated by the customer, except where the customer independently arranges a carrier not offered by Data2Power. For a non-consumer business sale, risk passes on delivery to the nominated address or collection by the customer or its independently appointed carrier. Title passes when full payment for the goods is received.
The customer should inspect deliveries promptly and notify us as soon as practicable of missing items, visible transit damage or incorrect goods. Failure to notify us immediately does not remove any right that cannot lawfully be excluded.
16. Returns and refunds
Returns and refunds are governed by the Data2Power Shipping and Returns Policy published on the Website, which forms part of these terms. That policy does not exclude or limit any right under the Australian Consumer Law.
17. Consumer guarantees
Goods supplied to a consumer come with guarantees that cannot be excluded under the Australian Consumer Law, including guarantees as to acceptable quality, fitness for disclosed purpose, matching description and sample, and availability of repairs and spare parts where applicable. A business may also be a consumer under the Australian Consumer Law in some circumstances.
Where goods fail to meet a consumer guarantee, the available remedy depends on the circumstances and whether the failure is major. Nothing in these terms requires a consumer to accept a remedy that is less than the remedy provided by law.
18. Data2Power 12-month warranty against defects
In addition to rights under the Australian Consumer Law, Data2Power warrants that goods manufactured or supplied under the Data2Power brand will be free from defects in materials and workmanship for 12 months from the date of purchase, unless a longer written warranty is stated for the product. For third-party branded goods, any stated manufacturer warranty also applies according to its terms.
To make a claim, contact Data2Power using the details in clause 28, provide proof of purchase, identify the product and describe the defect. We may request photographs, test information or return of the product. Where the warranty claim is valid, we will arrange or reimburse reasonable return freight and, at our option to the extent permitted by law, repair, replace or refund the product.
This additional warranty does not cover damage caused by misuse, accident, unauthorised modification or repair, incorrect installation, operation outside stated ratings or environmental limits, failure to follow instructions, normal wear and tear, external events such as surges or liquid ingress, or illegible or removed identification. An exclusion applies only to the extent the excluded event caused or contributed to the problem.
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
The benefits of this warranty are in addition to other rights and remedies available under law.
19. Product safety and installation
Products must be selected, installed, operated and maintained in accordance with their instructions, ratings and intended use. Where electrical work must legally be carried out by a licensed electrician or other qualified person, the customer must ensure that requirement is met. Power distribution products must not be overloaded, improperly earthed, daisy-chained contrary to instructions or used outside stated environmental limits.
The customer must stop using and isolate a product where it appears unsafe and contact Data2Power. This clause does not transfer to the customer any responsibility that the law places on Data2Power as supplier or manufacturer.
20. Liability
Nothing in these terms excludes, restricts or modifies liability or a right or remedy that cannot lawfully be excluded, restricted or modified.
To the extent permitted by law, Data2Power is not liable for indirect or consequential loss that was not reasonably foreseeable, or for loss caused by the customer’s misuse, incorrect installation, unauthorised modification, failure to follow instructions or use outside an agreed specification.
For a supply that is not ordinarily acquired for personal, domestic or household use or consumption, and where it is fair and reasonable and permitted by section 64A of the Australian Consumer Law, our liability for failure to comply with an applicable consumer guarantee is limited, at our option, to replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of replacement, equivalent supply or repair.
21. Events outside reasonable control
Neither party is liable for delay or failure caused by an event outside its reasonable control, except for an obligation to pay an amount already due. The affected party must take reasonable steps to reduce the effect and resume performance. If the event materially prevents supply for an extended period, either party may cancel the affected unperformed part and the customer will receive a refund of amounts paid for goods not supplied, less any amount lawfully payable for completed custom work or non-cancellable commitments agreed under clause 13.
22. Accounts and credentials
A customer is responsible for maintaining the confidentiality of its Website credentials and for activity conducted through its account by authorised users. The customer must notify us promptly of suspected unauthorised use. We may require verification before changing account or delivery information.
Part C – General
23. Privacy
We handle personal information in accordance with the Data2Power Privacy Policy available on the Website.
24. Communications
Notices and transaction communications may be sent to the contact details supplied by the customer. Electronic communications are taken to be received when they become capable of being retrieved at the recipient’s nominated address, subject to evidence of transmission failure. Marketing communications may be opted out of as explained in our Privacy Policy.
25. Changes to these terms
We may update these terms for future Website use and future orders by publishing a revised version with a new effective date. Changes do not retrospectively alter an accepted order unless the parties agree or the law requires the change.
26. Severability and waiver
If a provision is invalid or unenforceable, it is to be read down to the minimum extent necessary or severed, without affecting the remainder. A failure or delay in exercising a right is not a waiver of that right.
27. Governing law
These terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland and courts entitled to hear appeals from them. This does not prevent a consumer from exercising any right to bring a claim in another jurisdiction where that right cannot lawfully be excluded.
